3. User Responsibilities and Obligations
3.1 Account Registration and Security

4.4 Taxes and Compliance

We grant you a limited, non-exclusive, non-transferable, revocable license to use our software and services in accordance with these Terms and your subscription plan. This license allows you to:

Work-for-Hire
Custom software developed specifically for you under a work-for-hire agreement will be owned by you, subject to payment in full and any pre-existing IP rights.
Retained Rights
We retain rights to general methodologies, know-how, and non-specific technical knowledge gained during development projects.
6. Limitation of Liability and Disclaimers

- Non-infringement of third-party rights
- Uninterrupted or error-free operation
- Security or freedom from viruses or harmful components
- Accuracy, reliability, or completeness of information
6.2 Limitation of Damages
Direct Damages Cap
Our total liability for direct damages shall not exceed the amount paid by you for the specific service in the 12 months preceding the claim.
Excluded Damages
We shall not be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits or business interruption.
6.3 Exceptions to Limitations
The above limitations do not apply to:
- Death or personal injury caused by our negligence
- Fraudulent misrepresentation or willful misconduct

- Liability that cannot be excluded under Indian law
- Your breach of payment obligations

7. Termination and Suspension
7.1 Termination by You
- Cancellation: Cancel your subscription anytime through your account dashboard or by contacting support
- Effective Date: Cancellation takes effect at the end of your current billing period
- Data Export: Download your data before termination as access will be restricted afterward
- Refunds: Eligible refunds will be processed according to our refund policy
7.2 Termination by Us
We may terminate or suspend your account immediately upon notice for:

7.3 Effect of Termination
Upon Termination:
- • All licenses granted to you will cease immediately

- • You must cease all use of our software and services
- • We will retain your data according to our retention policy
- • Outstanding payment obligations remain due
- • Provisions that should survive termination will remain in effect

8.2 Arbitration (For Business Customers)
For disputes exceeding ₹5,00,000 (Five Lakh Rupees), both parties agree to binding arbitration under the Arbitration and Conciliation Act, 2015:

- Arbitrator: Single arbitrator mutually agreed upon, or appointed by Delhi High Court

8.3 Jurisdiction and Governing Law
Governing Law
These Terms are governed by the laws of India, including the Information Technology Act, 2000, Companies Act, 2013, and Consumer Protection Act, 2019.
Jurisdiction
Courts in Agra, Uttar Pradesh shall have exclusive jurisdiction over disputes not subject to arbitration.
8.4 Consumer Rights
Note for Individual Consumers: If you are an individual consumer (not using our services for business purposes), you may have additional rights under the Consumer Protection Act, 2019. These Terms do not limit your statutory consumer rights.
9. Modifications and Updates
9.1 Changes to Terms
We reserve the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated as follows:

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Invalid provisions will be replaced with valid provisions that achieve the same economic effect.
